Terms of Service

Welcome to the Agora Mental Health Network® (AgoraMHN). These Terms of Service govern the professional membership subscription and use of the AgoraMHN.com website and platform. AgoraMHN is dedicated to helping licensed mental health professionals market their services in today’s evolving healthcare marketplace.

These Terms of Service (“Terms”) constitute a binding legal agreement between you, the subscribing professional (“Member” or “you”), and Agora Mental Health Network, LLC, a limited liability company organized under the laws of the State of Delaware and registered to do business in the State of Illinois, doing business as AgoraMHN (“AgoraMHN,” “we,” “us,” or “our”). These Terms apply to any subscription to the AgoraMHN.com website (the “Website”) and/or to the placement of content on the Website (collectively, “The Service”).

A. Eligibility and Professional Requirements

By subscribing to The Service, you represent, warrant, and agree to all of the following:

1. You understand that the Website is an informational platform intended to help you market your professional practice. AgoraMHN does not act as a medical professional, does not regulate clinical practice, and is not an enforcement body. You agree to indemnify and hold AgoraMHN harmless from any claims arising out of your breach of these Terms or claims brought by third parties regarding the professional services you provide.
2. You are at least eighteen (18) years of age. AgoraMHN membership is available to adults only.
3. You are licensed by, and in good standing with, an officially recognized body that regulates your mental health profession in your state or geographical area, and you hold a minimum master’s level degree from an accredited institution in a mental health-related field.
4. Your qualifications and credentials are active, accurate, and up to date. If there is any change, you agree to notify AgoraMHN within seven (7) calendar days and update your profile. Members who misrepresent themselves may be removed without notice or refund.
5. You carry current professional liability and/or malpractice insurance throughout the term of your membership.
6. The accuracy of the information in your listing is solely your responsibility. AgoraMHN assumes no responsibility for materials posted by Members.
7. You understand that not everyone who contacts you through the internet may have a legitimate therapeutic intent, and AgoraMHN bears no responsibility for any engagement you undertake with any person who contacts you through your listing.
8. You agree to publish your standard fee for the service you perform most often.
9. You agree to record and post a video responding to a standard set of five (5) required interview questions as described at agoramhn.com/Standard-and-Optional-Interview-Questions.
10. You agree to respond within one (1) business day to all AgoraMHN-originated email or telephone inquiries from prospective clients or third-party referrers.
11. AgoraMHN does not independently verify the credentials, licensure status, or representations made by Members and expressly disclaims any responsibility for inaccurate or misleading credential information submitted by Members.
12. AgoraMHN cannot promise or guarantee an increase in clients or business as a result of your use of The Service.

B. Subscriptions, Billing, and Cancellation

By completing the signup form and checking the box acknowledging these Terms, you agree to subscribe to The Service and to receive email communications from AgoraMHN.

Subscription Fees and Billing

Payment for The Service is a subscription made in advance, typically on an annual basis unless otherwise negotiated in writing. Subscriptions automatically renew at the end of each subscription period unless cancelled. You authorize AgoraMHN to automatically charge the applicable subscription fee to your payment method on file at the time of renewal.

AgoraMHN reserves the right to change subscription fees with at least thirty (30) days’ written notice. If you do not cancel before the new fee takes effect, your continued membership constitutes acceptance.

Failed Payments

If your payment method is declined, AgoraMHN will make reasonable efforts to contact you. If your account remains unpaid for thirty (30) days, it will be suspended and your profile will be removed from the Website.

Cancellation

The Service may be terminated at any time by either party. It is the Member’s responsibility to confirm that notification of cancellation was received by AgoraMHN. Upon confirmed cancellation, your profile will be removed within five (5) to ten (10) business days. AgoraMHN reserves the right to remove any Member’s profile without prior notice for violations of these Terms.

C. Profiles and Content Posting

All Members are required to complete a full profile within thirty (30) days of account activation. Profiles must include your name, practice email address, practice phone number, practice address, credentials, education, and other required information, all of which must be true and current. All narrative content you submit must be your original work and unique — not duplicated on other websites.

All photos, biographical content, and other materials submitted for posting are subject to approval and must pertain to your profession and/or practice. AgoraMHN reserves the right to make minor corrections (limited to spelling and clear punctuation errors) without notice. Any substantive edit requires the Member’s approval before publication.

Use of profanity, derogatory terminology, or harassing language in profiles, videos, or blog entries is prohibited.

D. Content Submission Policy

A Member may at any time add, update, edit, delete, or retract content appearing within their professional profile. Members may also publish creative work (blog entries, short videos, announcements, and articles) without prior approval.

AgoraMHN may not license, sell, or commercially exploit a Member’s original creative content to generate direct revenue without the Member’s prior written consent. Members retain full authorship credit for their work.

Members are solely responsible for the legality of all content submitted. By submitting content, Members represent that they are the original authors or sole copyright holders, or that the content is in the public domain.

If Members submit content for publication on AgoraMHN, they agree not to republish the same content elsewhere without including the disclosure: “First published on AgoraMHN.com.”

E. Search Results and Listing Order

By default, Members are displayed on search results pages in a randomized order within a specified ZIP code and, thereafter, by proximity to the user’s specified location. An incomplete or inactive profile is unlikely to result in new client inquiries and may be relegated to the bottom of search results pages until completed to AgoraMHN’s standards.

F. Prohibited Conduct

Contact Form Misuse

Contact forms are intended only for individuals seeking professional mental health services or for professionals making referrals. Using the contact form to spam, solicit services, or send messages intended to harm, discredit, or harass any individual or AgoraMHN may result in immediate account termination without refund.

Conduct Toward Other Members

Members agree to conduct themselves professionally in all interactions. Defamation, tortious interference, harassment, or any other harmful conduct directed at other Members is prohibited and may result in account termination without refund.

Prohibited Email Conduct

You may not use The Service to send spam, email to harvested addresses, or email without accurate opt-out notifications. Email sent through The Service may not contain false or misleading information in the subject line or body.

Unauthorized System Access

Any attempt at unauthorized access, hacking of Member accounts, or cyberattack will be reported to appropriate law enforcement and may be prosecuted under applicable federal and state law, including the Computer Fraud and Abuse Act (18 U.S.C. § 1030).

G. Website Operations

The Website and its services may be unavailable from time to time due to maintenance, updates, or unforeseen technical issues. AgoraMHN makes no guarantee of uninterrupted, error-free operation. No refunds, pro-rated credits, or service extensions are granted on account of Website downtime or service interruptions, except as required by applicable law.

H. HIPAA and Healthcare Regulatory Compliance

AgoraMHN is a marketing and directory platform — it is NOT a Covered Entity or Business Associate as those terms are defined under HIPAA and its implementing regulations.

Members are solely responsible for their own HIPAA compliance. AgoraMHN expressly disclaims any liability for a Member’s failure to comply with HIPAA or any applicable healthcare privacy law.

I. Telehealth and Virtual Services Compliance

AgoraMHN enables Members to advertise virtual (telehealth) services. Members who offer or advertise telehealth services represent and warrant that they are in full compliance with all applicable telehealth laws and regulations in every jurisdiction in which they provide such services, including all interstate licensure requirements.

AgoraMHN does not provide legal, compliance, or regulatory guidance regarding telehealth practice and expressly disclaims any liability for a Member’s failure to comply with telehealth laws or interstate licensure requirements.

J. Data Privacy, Account Security, and Breach Notification

Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. Notify AgoraMHN immediately of any unauthorized use of your account.

Personal Information and Risk

You accept all risks associated with publicly posting personal information on the Website, including your name, email address, phone number, photograph, and other professional information.

Data Security and Breach Notification

AgoraMHN implements commercially reasonable safeguards to protect Member data. In the event of a confirmed data breach affecting Member personal data, AgoraMHN will provide notice in accordance with applicable state and federal breach notification laws, delivered to the email address associated with your account.

K. Email Communications

AgoraMHN uses email as its primary method of communication. By signing up, you agree that AgoraMHN may send periodic emails including account notices, client inquiries, referral notifications, and service announcements. AgoraMHN will not release your email address to any third party without your express permission, except as required by law.

The “Send Private Message” button on each Member’s profile enables website users to forward a message directly to your email address. A read-only copy is also stored in your AgoraMHN Dashboard until you delete it.

L. Administrative and Feedback Messages

AgoraMHN will periodically send announcements and administrative messages designed to help you get the most out of The Service. These messages are considered a critical part of The Service, and Members may not opt out of receiving them.

M. Marketing of Member Content

By subscribing to The Service, you understand that your listing and profile may appear on other websites, including search engines or third-party platforms. AgoraMHN has the right to promote and advertise its Website — including Member content — on other websites, in print materials, and in any other manner of advertising.

N. Intellectual Property of AgoraMHN

The AgoraMHN name, logo, trade dress, taglines, platform design, and all other trademarks, service marks, and copyrighted materials owned by AgoraMHN are the exclusive property of Agora Mental Health Network, LLC. Nothing in these Terms grants Members any right to use AgoraMHN IP without prior written consent. Unauthorized use may result in account termination and legal action.

O. Non-Discrimination

AgoraMHN is committed to providing equal access to its platform and services. Members agree not to discriminate against any client, potential client, or fellow Member on the basis of race, color, national origin, religion, sex, sexual orientation, gender identity or expression, age, disability, marital status, or any other characteristic protected by applicable federal, state, or local law. Violations may result in immediate account termination without refund.

P. Limitations of Liability

Except as otherwise required by applicable law, no refunds or credits are granted for any reason after purchase, including early cancellation or dissatisfaction with The Service. AgoraMHN is not responsible for any secondary costs you incur in connection with your profile, including production of stationery, business cards, or other materials.

If you believe applicable state consumer protection law entitles you to a refund, please contact AgoraMHN in writing. AgoraMHN will evaluate such requests on a case-by-case basis in accordance with applicable law.

R. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles. Subject to the Dispute Resolution provisions in Section S, any action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts of competent jurisdiction located in the State of Illinois.

S. Dispute Resolution and Arbitration

Informal Resolution

Before initiating any formal dispute process, you agree to first contact AgoraMHN in writing and give AgoraMHN at least thirty (30) days to attempt informal resolution.

Binding Arbitration

If informal resolution fails, any dispute shall be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its then-current Commercial Arbitration Rules, conducted by a single arbitrator in Illinois. Judgment on the award may be entered in any court of competent jurisdiction.

Exceptions

Either party may seek emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm. Claims of $5,000 or less may be brought in small claims court.

Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, ALL DISPUTES MUST BE BROUGHT BY THE PARTIES IN THEIR INDIVIDUAL CAPACITIES AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, CONSOLIDATED PROCEEDING, OR REPRESENTATIVE ACTION.

T. Force Majeure

Neither AgoraMHN nor any Member shall be in breach of these Terms for any failure or delay in performance arising from causes beyond reasonable control, including acts of God, natural disasters, pandemics, governmental orders, war, terrorism, power outages, or cyberattacks. If a Force Majeure Event affecting AgoraMHN’s ability to provide The Service continues for more than sixty (60) consecutive days, either party may terminate this Agreement without liability, and AgoraMHN shall provide a pro-rated refund for the unexpired portion of any prepaid subscription.

U. Entire Agreement, Severability, and Waiver

Entire Agreement: These Terms, together with any separately negotiated written agreements expressly incorporated by reference herein, constitute the entire agreement between the parties and supersede all prior understandings, representations, and warranties.

Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force, and the invalid provision will be modified to the minimum extent necessary to make it valid.

Waiver: No failure or delay by AgoraMHN in exercising any right shall operate as a waiver. No waiver shall be effective unless in writing and signed by an authorized representative of AgoraMHN.

V. Amendments to These Terms

AgoraMHN reserves the right to update or modify these Terms at any time. For non-material changes, AgoraMHN will update the “Effective Date” and version number and post the revised Terms. For material changes, AgoraMHN will provide at least thirty (30) days’ advance written notice via email before the new terms take effect.

Continued use of The Service after the effective date of any material change constitutes your acceptance of the revised Terms.
