Professional Membership Terms of Service

Welcome to the Agora Mental Health Network® (AgoraMHN). These Terms of Service govern the professional membership subscription and use of the AgoraMHN.com website and platform. AgoraMHN is dedicated to helping licensed mental health professionals market their services in today’s evolving healthcare marketplace. Our unique approach reflects a deep understanding of how consumers actually choose mental health practitioners — not just find them.
AgoraMHN also serves consumers interested in mental health treatment and third parties who commonly refer individuals for care. By taking full advantage of our modern marketplace and its many features, AgoraMHN is designed to become your primary online marketing hub as you grow a more profitable and fulfilling practice.
These Terms of Service (“Terms” or “Tos”) constitute a binding legal agreement between you, the subscribing professional (“Member” or “you”), and Agora Mental Health Network, LLC, a limited liability company organized under the laws of the State of Delaware and registered to do business in the State of Illinois, doing business as AgoraMHN (“AgoraMHN,” “we,” “us,” or “our”). These Terms apply to any subscription (paid or unpaid) to the AgoraMHN.com website (the “Website”), and/or to the placement of content (written, images, audio, video, or other media) on the Website (collectively, “The Service” or “services”).
BY COMPLETING THE SIGNUP PROCESS AND CHECKING THE ACKNOWLEDGMENT BOX, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, DO NOT BECOME A SUBSCRIBING MEMBER.
A. Eligibility and Professional Requirements
By subscribing to The Service, you represent, warrant, and agree to all of the following:
1. You understand that the Website is an informational platform intended to help you market your professional practice to the public. AgoraMHN does not act as a medical professional, does not regulate the clinical practice of any listed professional, and is not an enforcement body. You agree to indemnify, defend, and hold AgoraMHN and its owners, subsidiaries, affiliates, agents, officers, directors, and employees harmless from any claims, losses, liabilities, damages, costs, or expenses arising out of your breach of these Terms or any claims brought by third parties with respect to the professional services you provide.
2. You are at least eighteen (18) years of age. AgoraMHN membership is available to adults only. Minors may not subscribe as Members.
You are licensed by, and in good standing with, an officially recognized body that regulates your mental health profession in your state or geographical area, and that you hold a minimum master’s level degree from an accredited institution in a mental health-related field.
3. Your qualifications and credentials are active, accurate, and up to date. If there is any change to your credentials or qualifications, you agree to notify AgoraMHN within seven (7) calendar days and to update your profile accordingly. Members who misrepresent themselves may be removed without notice and without any reimbursement or refund.
4. You carry current professional liability and/or malpractice insurance throughout the term of your membership.
5. The accuracy of the information in your listing is solely your responsibility. You are responsible for all content you post to the Website and all consequences arising from such content. AgoraMHN assumes no responsibility for materials posted by Members or for any actions, conduct, or omissions of Members. You accept full responsibility for all communications and business you conduct with clients, potential clients, professionals, or any other parties as a result of your profile on the Website, and you release AgoraMHN from all liabilities arising from your use of The Service. 6. You understand that not everyone who contacts you through the internet may have a legitimate therapeutic intent, and AgoraMHN bears no responsibility for any engagement you undertake with any person who contacts you through your listing.
7. You agree to publish your standard fee for the service you perform most often.
8. You agree to record and post a video of yourself responding to a standard set of five (5) required interview questions, as described at https://www.agoramhn.com/Standard-and-Optional-Interview-Questions. In the same video, you may also pose and answer additional optional questions of your choosing. AgoraMHN may, but is not required to, arrange to have this interview recorded for you at no charge.
9. You agree to respond within one (1) business day (Monday through Friday, excluding federal holidays) to all AgoraMHN-originated email or telephone inquiries from prospective clients or third-party referrers. A response may be an acknowledgment confirming receipt and indicating when a substantive reply will follow. This requirement applies to practices of all billing structures, including fee-for-service, sliding scale, and insurance-based practices.
10. AgoraMHN does not independently verify the credentials, licensure status, or representations made by Members. The credential disclosure checkbox and self-attestation in the signup process are the primary means of credential representation. AgoraMHN expressly disclaims any responsibility for inaccurate, fraudulent, or misleading credential information submitted by Members. Any person relying on information provided in a Member’s profile does so at their own risk.
11. AgoraMHN cannot promise or guarantee an increase in clients or business as a result of your use of The Service. If your subscription includes a written guarantee, the terms of that guarantee are in addition to these Terms of Service.
B. Subscriptions, Billing, and Cancellation
By completing the first page of the signup form, submitting your email address, and checking the box acknowledging these Terms of Service, you agree to subscribe to The Service and to receive email communications from AgoraMHN. You confirm that you have been given a reasonable opportunity to read these Terms in full prior to acceptance.
Subscription Fees and Billing
Payment for The Service is a subscription made in advance for the selected duration and plan, typically on an annual basis unless otherwise separately negotiated in writing. Subscriptions automatically renew at the end of each subscription period unless cancelled in accordance with this Section. You authorize AgoraMHN to automatically charge the applicable subscription fee to your credit card or payment method on file at the time of renewal.
AgoraMHN reserves the right to change subscription fees. Any fee change will take effect no earlier than thirty (30) days after AgoraMHN provides written notice of the change to the email address associated with your account. If you do not cancel your subscription before the new fee takes effect, your continued membership constitutes acceptance of the new fee. Notice of fee changes constitutes adequate disclosure under these Terms.
Failed Payments
If your credit card or payment method is declined during automatic renewal, AgoraMHN will make reasonable efforts to contact you by telephone or email to obtain updated payment information. If your account remains unpaid for thirty (30) days beyond the date of the initial payment decline, your account will be suspended and your profile will be removed from the Website. AgoraMHN reserves the right to retain a third-party collection agency to collect past-due balances on accounts unpaid for more than thirty (30) days.
Cancellation
The Service may be terminated at any time by either party for any reason. It is the Member’s responsibility to confirm that notification of cancellation was received by AgoraMHN. Upon confirmed cancellation, AgoraMHN will remove the Member’s profile from the Website within five (5) to ten (10) business days of confirmed cancellation. “Business days” means Monday through Friday, excluding federal holidays.
To preserve the integrity and mission of the Website, AgoraMHN reserves the right to remove any Member’s profile without prior notice for any reason, including but not limited to violations of these Terms, conduct inconsistent with AgoraMHN’s mission, or actions that may harm AgoraMHN, its staff, or its users. Members removed for violations of these Terms may apply for reinstatement, subject to approval by AgoraMHN and payment of a reinstatement fee of U.S. $50.00. The original subscription period will remain unchanged following reinstatement.
C. Profiles and Content Posting
All Members are required to complete a full profile within thirty (30) days of account activation. Profiles must include your name, practice email address, practice phone number, practice address, credentials, education, and any other required information, all of which must be true and current. You agree that all narrative content you submit (such as a “Practice Philosophy” statement) is your original work and is unique — not duplicated on other websites or therapist listing services.
You may link your profile to your own professional website. If you have selected the Premium Service, you may also include links to specific web pages where ancillary mental health-related products or services may be promoted or sold (such as books, seminars, or courses). All such links are subject to AgoraMHN’s review and approval.
All photos, biographical content, and other materials submitted by a Member for posting on the Website are subject to approval. All content must pertain to your profession and/or practice and must remain within the scope of your professional license. AgoraMHN may request changes to your listing content if it determines such content is contrary to AgoraMHN’s mission, scope, or values.
AgoraMHN reserves the right to make minor corrections to a Member’s profile text — limited to spelling and clear punctuation errors — without prior notice to the Member. Any substantive edit to a Member’s profile content (including changes to credentials, descriptions, specializations, or practice information) will require notice to the Member and the Member’s approval before the change is published. AgoraMHN may also “no-index” aspects of a Member’s submitted content at its sole discretion where such content contains a substantial level of text duplicated from other websites, in order to comply with search engine guidelines.
Use of profanity, derogatory terminology, harassment, or language contrary to AgoraMHN’s values in profiles, videos, or blog entries is prohibited. AgoraMHN reserves the right to apply content filters or remove content it deems inappropriate. Additionally, harassment, profanity, or hostility directed at AgoraMHN staff with apparent willful intent to harm AgoraMHN may result in account termination without refund.
D. Content Submission Policy
By submitting any content for publication on AgoraMHN, the Member agrees to AgoraMHN’s content submission policy as set forth in this Section.
A Member may at any time add, update, edit, delete, or retract content appearing within their professional profile.
Members have the opportunity to publish creative work on the AgoraMHN Website in the form of blog entries, short videos, announcements, and articles, without prior approval. By choosing to contribute creative work, Members grant AgoraMHN a perpetual, irrevocable, and royalty-free license to display, reproduce, and distribute all content posted to The Service. You should assume that content you post may appear elsewhere on AgoraMHN.com (outside of your profile page), may be indexed by search engines, and cannot be fully retracted once published.
IMPORTANT: The content license described above is perpetual and irrevocable. By posting content to AgoraMHN, you grant AgoraMHN the right to continue displaying and distributing that content even after your membership ends, unless AgoraMHN agrees otherwise in writing.
Notwithstanding the foregoing, AgoraMHN may not license, sell, or otherwise commercially exploit a Member’s original creative content to generate direct revenue without that Member’s prior written consent. AgoraMHN may freely use Member content in advertising, promotions, and marketing of its platform and services. Members will retain full and permanent authorship credit for their work and will be credited whenever their work is used by AgoraMHN. Members will not be compensated for submitting articles or other content to AgoraMHN.
Members are solely responsible for the legality of all written content, images, audio, and video (“content”) submitted to AgoraMHN. By submitting content, Members represent and warrant that they are the original authors or creators of the content, or the sole copyright holders, or that the content is in the public domain, and that posting such content on the Website does not violate any applicable laws. If a Member has retained a ghostwriter, the Member warrants that they hold exclusive rights to all such submitted content.
AgoraMHN has the right, but not the obligation, to remove any content that it determines is contrary to AgoraMHN’s mission or values, or that is offensive, derogatory, defamatory, inaccurate, or in violation of any applicable law. Members who submit illegal content are subject to applicable laws and to termination of services without refund.
If Members submit content for publication on AgoraMHN, Members agree not to republish the same content on any other website or platform without including the disclosure: “First published on AgoraMHN.com.”
E. Search Results and Listing Order
By default, Members are displayed on search results pages in a randomized order within a specified ZIP code and, thereafter, by proximity to the user’s specified location. An incomplete or inactive profile is unlikely to result in new client inquiries and may interfere with AgoraMHN’s mission. Incomplete profiles may be relegated to the bottom of search results pages until the profile is completed to AgoraMHN’s standards.
F. Prohibited Conduct
Contact Form Misuse
Misuse or abuse of the Website via the Therapist contact form (“Send Private Message”) may result in account termination. Contact forms are intended only for individuals seeking professional mental health services or for professionals making referrals. Using the contact form to spam, solicit services, or send messages intended to harm, discredit, or harass any individual, professional, or AgoraMHN or its staff may result in immediate account termination without refund.
Conduct Toward Other Members
Members agree to conduct themselves in a professional manner at all times in their interactions with other Members through the AgoraMHN platform. Defamation, tortious interference, harassment, or any other harmful conduct directed at other Members through or in connection with the AgoraMHN platform is prohibited and may result in account termination without refund.
Prohibited Email Conduct
You may not use The Service in any way (directly or indirectly) to send, transmit, distribute, or deliver: (a) unsolicited commercial email (“spam”) in violation of the CAN-SPAM Act or any other applicable law; (b) email to addresses obtained through internet harvesting (“scraping”); or (c) email without accurate opt-out notifications.
Email sent through The Service may not: (a) employ any technique to misrepresent, hide, or obscure the point of origin or transmission path; (b) contain false or misleading information in the subject line or body; or (c) use AgoraMHN’s trademarks, taglines, or logos without prior written consent.
You warrant that each email you send through AgoraMHN will contain header information that is not false or misleading, and a clear and conspicuous statement permitting recipients to unsubscribe or opt out, along with instructions for doing so. You agree to promptly honor all opt-out, unsubscribe, “do not call,” and “do not send” requests.
Unauthorized System Access
Any attempt at unauthorized access, malicious server attacks, hacking of Member accounts or AgoraMHN’s systems, or any other form of cyberattack will be reported to appropriate law enforcement authorities and may be prosecuted under applicable federal and state law, including without limitation the Computer Fraud and Abuse Act (18 U.S.C. § 1030).
G. Website Operations
The Website and its services may be unavailable from time to time due to maintenance, updates, or unforeseen technical issues. AgoraMHN makes no guarantee of uninterrupted, error-free website operation and expressly disclaims any warranty of uptime or service continuity. By subscribing to The Service, you acknowledge and accept the inherent risk that the Website may not always be fully operational and that it may contain errors, broken links, or other unforeseen issues, including those arising from legal requirements.
No refunds, pro-rated credits, or service extensions are granted on account of Website downtime, performance degradation, or any other interruption in service, except as required by applicable law.
H. HIPAA and Healthcare Regulatory Compliance
AgoraMHN is a marketing and directory platform — it is NOT a Covered Entity or Business Associate as those terms are defined under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and its implementing regulations.
Members are solely responsible for their own HIPAA compliance, including all requirements under the Privacy Rule, the Security Rule, and the Breach Notification Rule. Members must not transmit, upload, store, or communicate any Protected Health Information (“PHI”) through AgoraMHN’s systems, including but not limited to the “Send Private Message” feature, Member profiles, blog posts, or any other Website functionality. AgoraMHN’s messaging and communication tools are NOT encrypted and are NOT designed to satisfy HIPAA Privacy or Security requirements.
AgoraMHN makes no representation that its platform is compliant with HIPAA or any other healthcare privacy regulation, and AgoraMHN expressly disclaims any liability for a Member’s failure to comply with HIPAA or any applicable healthcare privacy or security law. Members acknowledge that using AgoraMHN’s messaging system for client communication involving PHI may constitute a HIPAA violation for which the Member, not AgoraMHN, is solely responsible.
I. Telehealth and Virtual Services Compliance
AgoraMHN enables Members to advertise virtual (telehealth) services as part of their listed service types. The provision of telehealth services is subject to a complex and evolving body of state and federal laws governing licensure, scope of practice, prescribing authority, informed consent, and interstate practice.
Members who offer or advertise telehealth or virtual services through AgoraMHN represent and warrant that they are in full compliance with all applicable telehealth laws and regulations in every jurisdiction in which they provide such services, including all interstate licensure requirements. AgoraMHN does not provide legal, compliance, or regulatory guidance regarding telehealth practice. Members are solely responsible for ensuring their telehealth practice complies with all applicable laws and for obtaining any required licenses, registrations, or waivers for each state in which they provide services.
AgoraMHN expressly disclaims any liability for a Member’s failure to comply with telehealth laws or interstate licensure requirements.
J. Data Privacy, Account Security, and Breach Notification
Account Security
During registration, you will create an email address and password to access your account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You agree to immediately notify AgoraMHN of any unauthorized use of your password or account. AgoraMHN will not be liable for any loss or damage arising from unauthorized access to your account resulting from your failure to safeguard your credentials.
Personal Information and Risk
You accept all risks associated with publicly posting personal information on the Website, including your name, email address, phone number, photograph, and other professional information. You release AgoraMHN and its owners, subsidiaries, affiliates, agents, officers, directors, employees, and partners from any direct or indirect, special, or consequential damages relating to the public display of your information on the Website. You accept responsibility for this risk and release AgoraMHN from liability if your information is accessed or used by any third party as a result of its public display on AgoraMHN.
Data Security and Breach Notification
AgoraMHN implements commercially reasonable administrative, technical, and physical safeguards designed to protect Member data from unauthorized access, use, alteration, or disclosure. However, no security measures are perfect or impenetrable, and AgoraMHN does not guarantee that Member data will never be compromised.
In the event of a confirmed data security breach affecting Member personal data, AgoraMHN will provide notice to affected Members in accordance with applicable state and federal breach notification laws. Where required by law, notice will be provided without unreasonable delay and, in no case, later than the deadline prescribed by applicable law. Notice will be delivered to the email address associated with your AgoraMHN account and may also be posted on the Website.
K. Email Communications
AgoraMHN uses email as its primary method of communication with Members. It is your responsibility to ensure that the email address on file with AgoraMHN is current and that AgoraMHN emails are not filtered to spam. By signing up, you agree that AgoraMHN may send periodic emails as part of The Service, including but not limited to account notices, client inquiries, referral notifications, and service announcements. AgoraMHN will not release your email address to any third party without your express permission, except as required by law.
The “Send Private Message” button on each Member’s profile page enables Website users to forward a message directly to the Member’s email address via an email relay function. Messages sent through this relay can be read and replied to using your own email service. A read-only copy of the message will also be stored in your AgoraMHN Dashboard until you delete it.
IMPORTANT: Messages sent through the “Send Private Message” feature are NOT encrypted and are NOT designed to satisfy HIPAA Privacy and Security requirements. Members must not use this feature to communicate any Protected Health Information (PHI). See Section H for further details regarding HIPAA compliance obligations.
L. Administrative and Feedback Messages
AgoraMHN will periodically send announcements and administrative messages to the email address you provide. These messages are designed to help you get the most out of The Service and to encourage you to take full advantage of the features available to support your practice growth. Administrative and feedback messages are considered a critical part of The Service, and Members may not opt out of receiving them.
M. Marketing of Member Content
By subscribing to The Service, you understand that your listing and profile may appear on other websites, including search engines or third-party platforms. AgoraMHN has the right to promote and advertise its Website — including all Member content — on other websites, in print materials, commercials, audio, video, or in any other manner of advertising. AgoraMHN may freely enter into agreements with other websites or platforms to market and promote its services, brand, and Member profiles.
N. Intellectual Property of AgoraMHN
The AgoraMHN name, logo, trade dress, taglines, platform design, proprietary tools, and all other trademarks, service marks, and copyrighted materials owned by AgoraMHN (collectively, “AgoraMHN IP”) are the exclusive property of Agora Mental Health Network, LLC. Nothing in these Terms grants Members any right, title, or license to use AgoraMHN IP without the prior written consent of AgoraMHN.
Members may not use AgoraMHN’s name, logo, or branding in any manner that implies endorsement or affiliation beyond their status as a listed Member, without AgoraMHN’s prior written approval. Unauthorized use of AgoraMHN IP may result in account termination and may expose the Member to legal action.
O. Non-Discrimination
AgoraMHN is committed to providing equal access to its platform and services. Members agree not to discriminate against any client, potential client, or fellow Member on the basis of race, color, national origin, religion, sex, sexual orientation, gender identity or expression, age, disability, marital status, or any other characteristic protected by applicable federal, state, or local law.
Violation of this non-discrimination obligation may result in immediate account termination without refund and may be reported to applicable licensing bodies or law enforcement as warranted.
P. Limitations of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT — INCLUDING, WITHOUT LIMITATION, NEGLIGENCE — SHALL AGORA MENTAL HEALTH NETWORK, LLC, ITS WEBSITE, OWNERS, SUBSIDIARIES, AFFILIATES, AGENTS, OFFICERS, DIRECTORS, EMPLOYEES, OR PARTNERS (“AGORAMHN PARTIES”) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, PUNITIVE, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION DAMAGES RESULTING FROM:

Loss of use, data, or profits;

Statements or actions of any third party on or through the Website;

Dealings with vendors or other third parties;

Unauthorized access to or alteration of your data;

Failure in the transmission of your data;

Information that is sent, received, or not sent or received;

Failure to store or loss of data, files, or other content;
-
Services that are delayed or interrupted;

Any website referenced or linked to or from the Website; or
-
Any loss, harm, cost, or damage resulting from your subscription to AgoraMHN’s services.
THIS LIMITATION APPLIES WHETHER OR NOT AGORAMHN PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND ON ANY THEORY OF LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE WEBSITE, ITS SERVICES, OR ITS MATERIALS. TO THE EXTENT ANY LIABILITY IS FOUND DESPITE THE FOREGOING, THE TOTAL AGGREGATE LIABILITY OF AGORAMHN TO ANY MEMBER SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY THAT MEMBER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Q. Refund Policy
Except as otherwise required by applicable law, no refunds or credits are granted for any reason after purchase, including but not limited to early cancellation, dissatisfaction with The Service, or changes to AgoraMHN’s services or features. You agree that AgoraMHN is not responsible for any secondary costs you incur in connection with your profile or listing, including production of stationery, business cards, or other materials, or costs arising from changes to or cancellation of The Service.
If you believe that applicable state consumer protection law entitles you to a refund, please contact AgoraMHN in writing at the contact information provided at the end of these Terms. AgoraMHN will evaluate such requests on a case-by-case basis in accordance with applicable law.
R. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles. Agora Mental Health Network, LLC is organized under the laws of the State of Delaware and is registered to do business in the State of Illinois. For purposes of these Terms, Illinois law governs all matters relating to the interpretation, enforcement, and performance of this Agreement.
Subject to the Dispute Resolution provisions in Section S, any action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts of competent jurisdiction located in the State of Illinois, and each party hereby irrevocably consents to personal jurisdiction and venue in those courts.
S. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Informal Resolution
Before initiating any formal dispute process, you agree to first contact AgoraMHN in writing at the contact information provided at the end of these Terms and give AgoraMHN at least thirty (30) days to attempt informal resolution of the dispute.
Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms, the breach or interpretation thereof, or the use of The Service (“Dispute”) shall be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its then-current Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be in Illinois, unless the parties agree otherwise. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Exceptions
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending completion of arbitration. Claims of $5,000 or less may, at the claimant’s election, be brought in small claims court.
Class Action Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, ALL DISPUTES MUST BE BROUGHT BY THE PARTIES IN THEIR INDIVIDUAL CAPACITIES AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, CONSOLIDATED PROCEEDING, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
T. Force Majeure
Neither AgoraMHN nor any Member shall be in breach of these Terms or be liable for any failure or delay in performance of any obligation under these Terms arising from or attributable to causes beyond the reasonable control of the affected party, including without limitation acts of God, natural disasters, fires, floods, earthquakes, pandemics, epidemics, governmental actions or orders, war, terrorism, civil unrest, labor disputes, power outages, internet service provider failures, or cyberattacks (“Force Majeure Event”).
The affected party shall give the other party prompt written notice of the Force Majeure Event and shall resume performance as soon as reasonably practicable after the Force Majeure Event has ceased. If a Force Majeure Event affecting AgoraMHN’s ability to provide The Service continues for more than sixty (60) consecutive days, either party may terminate this Agreement without liability, and AgoraMHN shall provide a pro-rated refund for the unexpired portion of any prepaid subscription period.
U. Entire Agreement, Severability, and Waiver
Entire Agreement
These Terms, together with any separately negotiated written agreements or guarantees expressly incorporated by reference herein, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether oral or written, including any prior terms of service, marketing materials, or email communications. No oral or implied representations made prior to subscription shall form part of this Agreement.
Severability
If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions of these Terms will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.
Waiver
No failure or delay by AgoraMHN in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy. No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of AgoraMHN.
V. Amendments to These Terms
AgoraMHN reserves the right to update or modify these Terms at any time. For non-material changes (such as corrections to typographical errors, clarifications that do not affect Member rights, or changes required by law), AgoraMHN will update the “Effective Date” and version number and post the revised Terms on the Website.
For material changes — including but not limited to changes to fees, refund policy, arbitration requirements, content licensing, or Member obligations — AgoraMHN will provide at least thirty (30) days’ advance written notice via email to the address associated with your account before the new terms take effect. If you do not wish to accept the new terms, you may cancel your subscription before the new terms take effect; continued use of The Service after the effective date of any material change constitutes your acceptance of the revised Terms.
AgoraMHN maintains a version history of these Terms. The version applicable to any Member is the version in effect at the time of that Member’s most recent acceptance or renewal, subject to any updates properly noticed as described above.
