Welcome to the Agora Mental Health Network® website, www.agoramhn.com (the “Site,” which term also refers to all content, functionality, and services offered on or through the Site). AgoraMHN is an online directory and marketing platform designed to help consumers find and learn about licensed mental health professionals.
These Terms and Conditions of Website Use (these “Terms”) govern your access to and use of the Site. When we refer to “you” or “your,” we are referring to you as a visitor to and user of the Site. “We,” “us,” “our,” and “AgoraMHN” refer to Agora Mental Health Network, LLC, a limited liability company organized under the laws of the State of Delaware and registered to do business in the State of Illinois.
“Content” refers to all information presented on the Site, including text, data, graphics, images, photographs, video, audio, and other information, including information provided in direct response to users’ questions and postings. “Providers” refers collectively to the psychiatrists, psychologists, therapists, counselors, and other licensed mental health professionals listed on the Site. “Submissions” refers to any comments, feedback, reviews, ideas, suggestions, images, or other materials you provide to the Site, as further described in Section J.
BY ACCESSING, BROWSING, OR USING THE SITE IN ANY WAY, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SITE.
A. Acceptance of Terms
By accessing, browsing, using, or creating an account on the Site, you are entering into a binding agreement with Agora Mental Health Network, LLC, and you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as any other policies posted on the Site, including our Privacy Notice. If you do not agree to these Terms or to any other policy posted on the Site, you must not access or use the Site.
B. About the Site
The Site is an online service provided by AgoraMHN that offers access to information about mental health professionals. AgoraMHN does not provide medical or health advice and does not endorse or recommend any mental health professional listed on the Site. Instead, AgoraMHN offers access to information provided by Providers to help consumers make informed, independent choices in their search for mental health care.
Information on the Site is provided free of charge to consumers and is offered for non-commercial, personal use only.
No Endorsement: AgoraMHN does not endorse or recommend any Provider listed on or accessible through the Site. We make no guarantees, representations, or warranties — express or implied — with respect to any Provider’s professional qualifications, expertise, quality of work, pricing, insurance coverage, or any other content provided through the Site.
C. No Medical Advice — AgoraMHN Is Not a Healthcare Provider
AgoraMHN is not a provider of mental health, medical, or health advice. No Content or other information on the Site should be construed as mental health, medical, or health advice of any kind. Always seek the advice of your mental health professional, physician, or other qualified healthcare provider for any questions you may have regarding a medical or mental health condition.
None of the Content on the Site, and no service offered by or through the Site, is intended to be relied upon for mental health or medical diagnosis or treatment. Never disregard professional medical or mental health advice, or delay in seeking it, because of something you have read on the Site. Do not use the Site for emergency medical or mental health needs. If you or someone you know is in a mental health emergency, call 988 (Suicide & Crisis Lifeline) or 911, or go to your nearest emergency room.
D. No Provider–Patient Relationship
No Provider–patient relationship is created by your use of the Site or any Content found on it. The Site facilitates discovery of and access to information about Providers; it does not create any professional relationship between you and any Provider.
AgoraMHN has no control over, and cannot guarantee the availability of, any particular Provider at any particular time. You agree to assume full responsibility in connection with choosing any Provider, whether or not you obtained information about that Provider on or through the Site. You acknowledge and agree that AgoraMHN is not responsible or liable for any advice, treatment, or other services rendered by any Provider, or for any malpractice claims or other claims that may arise directly or indirectly from any such advice, treatment, or services.
Any dispute between you and a Provider arising from any transaction or professional relationship must be resolved directly between you and that Provider, without involving AgoraMHN and without any liability to AgoraMHN.
E. The Site as an Informational Resource
Providers listed on the Site enter into separate contracts with AgoraMHN and may pay a subscription fee to be listed and marketed through the Site. AgoraMHN provides users with lists and profile previews of Providers who may be able to provide the healthcare services you seek, based on the information you provide and on other criteria such as location and availability.
All Content on the Site is presented in summary form, is general in nature, and is provided for informational purposes only. Any medical- or mental-health-related content on the Site comes directly from Providers; this includes information about the Provider and information about any procedures, products, mental health services, or methods they offer. AgoraMHN has no obligation to review or verify any Content provided to it by Providers or users, does not guarantee the timeliness, accuracy, or completeness of any Content, and will not be responsible for any errors or omissions or for the results obtained from your use of any Content.
AgoraMHN does not recommend or endorse any particular Provider whose information appears on the Site and makes no representations or warranties with respect to any Provider or the quality of services they may provide. The Site functions solely as a conduit or intermediary that makes Provider information available to users. No Content on the Site should be construed as an endorsement of any specific Provider. Content on the Site may include statements of opinion, which are not statements of fact or AgoraMHN’s recommendations. You should obtain all additional information necessary to make an informed decision before selecting and engaging with any Provider.
F. Providers and Other Healthcare Professionals Using This Site
The Site is intended for the personal, non-commercial use of consumers seeking mental health services. If you are a Provider or other person or entity in the healthcare or mental health industry, you acknowledge and agree that:
1. You will not use the Site to view, access, or use any pricing, availability, or other Content for any purpose other than your own personal use as a prospective patient or consumer;
2. You will not use the Site to establish, coordinate, or enforce any agreement regarding the prices charged for any product or service, or otherwise attempt to engage in price fixing, output restriction, or customer or market allocation; and
3. You will not otherwise use the Site to engage in any anti-competitive, deceptive, or unfair practices, or to violate any applicable antitrust, competition, or consumer protection laws or regulations.
Providers who subscribe to AgoraMHN’s professional directory services are separately governed by the AgoraMHN Professional Membership Terms of Service, available at www.agoramhn.com/Terms-and-Conditions-of-Professional-Membership. In the event of any conflict between these Terms and the Professional Membership Terms of Service with respect to a subscribing Provider’s use of the Site, the Professional Membership Terms of Service shall govern.
G. Eligibility and Account Registration
Access to certain features of the Site may require you to register for an account using a user identifier (“User ID”) and password. By registering for an AgoraMHN account, you represent, warrant, and agree that:
1. You are at least eighteen (18) years of age. The Site is intended for adults only. If you are under the age of 18, you may not register for an account or use the Site;
2. You are using your actual identity;
3. You have provided only true, accurate, current, and complete information about yourself during the registration process; and
4. You will maintain and promptly update the information you provide to keep it true, accurate, current, and complete.
H. Account Security
By logging onto an AgoraMHN account using your password, you represent and warrant that you are authorized to use that password and to engage in the activities you conduct under your account. Your User ID and password are personal to you; you agree not to disclose or share them with any third party.
You are solely responsible for maintaining the security and confidentiality of your User ID and password, and for all activities conducted on or through the Site in connection with your account, regardless of whether those activities are undertaken by you or by another person with or without your authorization. This includes any unauthorized access to or use of your account.
If you wish to cancel a password, or if you become aware of any loss, theft, or unauthorized use of your password or account, please notify AgoraMHN immediately by sending an email to admin@agoramhn.com.
I. Acceptable Use Requirements
You agree not to engage in any unacceptable use of the Site. You agree that you will not, directly or indirectly:
• Submit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable;
• Impersonate any person or entity (including any AgoraMHN representative or Provider), or falsely state or otherwise misrepresent your affiliation with any person or entity;
• Create a false identity, forge headers, or otherwise manipulate identifiers in order to disguise the origin of any content or communication;
• Post any unsolicited advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, investment opportunities, or any other form of unauthorized solicitation;
• Post any content that you do not have a right to post under any law, or under any contractual or fiduciary obligation (such as proprietary or confidential information obtained through an employment relationship or non-disclosure agreement);
• Submit, upload, or transmit any content containing viruses, malware, corrupted files, or programs designed or intended to disrupt or destroy the functionality of any software, hardware, telecommunications network, server, or other equipment;
• Submit any Protected Health Information (“PHI”) as defined under the Health Insurance Portability and Accountability Act (“HIPAA”). AgoraMHN’s systems are not designed to receive, store, or protect PHI, and you must not use the Site to transmit any patient-identifiable health information; or
• Engage in any other activity that AgoraMHN determines, in its sole discretion, to be in conflict with the spirit and intent of these Terms.
In addition, you understand and agree that the Site and all Content are to be used only for your personal, non-commercial evaluation of Providers. You agree that you will not:
• Accumulate or index, directly or indirectly, any Content or portion of the Site (including Provider information, availability, pricing, or insurance information) for any commercial or non-personal purpose;
• Use the Site to compile mailing lists or other lists of Providers for commercial purposes; • Use the Site to establish independent data files or to amass statistical information about Providers; • Publish or distribute in any medium any information contained on the Site, or summaries or subsets thereof, to any person or entity for non-personal purposes; or • Use the Site in violation of any applicable laws or regulations, or for any purpose other than those intended by AgoraMHN, as determined by AgoraMHN in its sole discretion. You further agree that you will not:
• Attempt to access or access any other user’s account;
• Attempt to obtain any other user’s User ID, password, or personal information by any means;
• Attempt to circumvent or defeat AgoraMHN’s security systems; or
• Attempt to gain access to AgoraMHN’s systems in any unauthorized or fraudulent manner.
AgoraMHN reserves all rights to monitor the Site for any reason, including to evaluate whether any Submissions are consistent with these Terms. However, AgoraMHN assumes no responsibility or liability arising from any Submissions and is under no obligation to enforce these Acceptable Use Requirements against any particular user on your behalf. You understand that by using the Site, you may be exposed to content that you find objectionable; your sole remedy is to avoid such content.
AgoraMHN may suspend or terminate your access to the Site at any time, with no liability to you, including if AgoraMHN is investigating any suspected noncompliance with these Terms.
J. User Submissions
Certain features of the Site allow you to provide comments, feedback, and other content regarding the Site or Providers. All such content — including comments, feedback, reviews, ideas, suggestions, materials, images, and other submissions — are referred to as “Submissions.”
All Submissions must comply with the Acceptable Use Requirements set forth in Section I above. You are solely responsible for all of your Submissions and assume all risk associated with them. AgoraMHN is not obligated to retain or provide you with copies of your Submissions.
You understand that all Submissions will not be treated as confidential. You agree that you will not include any confidential or proprietary information in any Submission. AgoraMHN has the right, but not the obligation, to publish, release, and/or use any Submissions in its discretion and for any purpose — including advertising, promotional activities, and product development — without any right of compensation to you or any third party. By submitting any Submission, you grant AgoraMHN a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, publish, translate, distribute, and display your Submission in any medium and for any purpose.
K. Email Communications
AgoraMHN uses email as a primary communication channel. By using the Site and providing us with an email address, you grant AgoraMHN permission to communicate with you by email for any purposes related to your use of the Site. AgoraMHN will use reasonable efforts to honor any request to opt out of marketing messages.
You agree that any notice, agreement, disclosure, or other communication that AgoraMHN sends to you by email will satisfy any applicable legal communication requirements, including any requirement that such communication be in writing.
AgoraMHN will not disclose your email address to any third party without your express permission, except as required by law.
L. Links to Third-Party Websites
AgoraMHN and others may provide links to third-party web pages, websites, and resources (collectively, “Third-Party Sites”). Links to Third-Party Sites are provided solely for the convenience of users. AgoraMHN does not operate, control, endorse, or guarantee any Third-Party Site. AgoraMHN’s policies do not apply to any Third-Party Site.
YOUR USE OF ANY THIRD-PARTY SITE IS AT YOUR SOLE RISK AND WITHOUT WARRANTIES OF ANY KIND BY AGORAMHN, EXPRESSED, IMPLIED, OR OTHERWISE. UNDER NO CIRCUMSTANCES IS AGORAMHN LIABLE FOR ANY DAMAGES ARISING FROM ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY SITE, OR FOR ANY INFORMATION APPEARING ON THIRD-PARTY SITES.
M. Intellectual Property of AgoraMHN
The Site is owned by AgoraMHN. As between you and AgoraMHN, AgoraMHN owns or otherwise holds all proprietary rights to all Content included on the Site, including all copyrights, trademarks, service marks, trade names, and other intellectual and proprietary rights throughout the world.
You may not reproduce, publish, distribute, display, modify, create derivative works from, or otherwise exploit any Content without AgoraMHN’s prior express written consent. You have a limited, non-exclusive, non-transferable license solely to view, print, and download Content from the Site for your own personal use only. Any unauthorized use of the Site or its Content immediately and automatically terminates this license.
“AGORA MENTAL HEALTH NETWORK,” “AGORAMHN,” and all related names, logos, product and service names, designs, and slogans are trademarks of Agora Mental Health Network, LLC. You may not use such marks without AgoraMHN’s prior written permission. You may not use any metatags, meta elements, hidden text, or other equivalents using these names without AgoraMHN’s prior written authorization.
You will not remove or modify any copyright, trademark, or other proprietary rights notice that appears on any portion of the Site.
N. Copyright Complaints (DMCA)
AgoraMHN takes claims of copyright infringement seriously.
The Digital Millennium Copyright Act, 17 U.S.C. § 512 (the “DMCA”), provides a procedure for copyright owners who believe that materials on the Site infringe their rights. If you believe your work has been improperly copied and posted on the Site, submit written notification to AgoraMHN’s designated Copyright Agent. Your notice must include:
• Your physical or electronic signature;
• Identification of the copyrighted work you believe to have been infringed;
• Identification of the infringing material with sufficient precision to allow AgoraMHN to locate it;
• Your contact information (name, postal address, telephone number, and email address);
• A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
• A statement that the information in the notice is accurate; and
• A statement, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

AgoraMHN strongly recommends consulting a legal advisor before filing a DMCA notice. False claims may result in liability for damages under Section 512(f) of the DMCA.
O. Indemnification
You agree to indemnify, defend, and hold harmless AgoraMHN and its directors, officers, affiliates, volunteers, agents, employees, licensors, and partners from any claim, demand, loss, liability, damage, or expense — including reasonable attorneys’ fees — made by any third party arising out of or relating to: (a) any content you submit, post, or transmit through the Site; (b) your use of the Site; (c) your violation of these Terms; or (d) your violation of any rights of any third party.
P. Disclaimer of Warranties
YOU ACKNOWLEDGE, AGREE, AND UNDERSTAND THAT THE SITE AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE), AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “WHERE AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, AGORAMHN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AGORAMHN DOES NOT REPRESENT OR WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THE SITE OR ANY CONTENT AVAILABLE THROUGH THE SITE WILL BE FREE OF VIRUSES OR ANYTHING ELSE HARMFUL. CERTAIN STATE LAWS MAY NOT ALLOW LIMITATIONS OR EXCLUSIONS ON WARRANTIES; THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
AGORAMHN MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE SITE OR ITS CONTENT WILL ASSIST YOU IN IDENTIFYING A SUITABLE PROVIDER OR FOR ANY OTHER PURPOSE. THE SITE IS NOT INTENDED TO BE A SUBSTITUTE FOR PROFESSIONAL ADVICE. AGORAMHN IS A CONDUIT FOR INFORMATION REPRESENTED TO IT BY ITS PROVIDERS ONLY.
YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH PROVIDERS LISTED ON THE SITE. YOU UNDERSTAND THAT AGORAMHN DOES NOT CONDUCT BACKGROUND CHECKS, VERIFY MEDICAL LICENSURE, OR PERFORM SCREENINGS OF ANY KIND REGARDING THE PROVIDERS LISTED ON THE SITE. AGORAMHN DOES NOT INDEPENDENTLY VERIFY THE INFORMATION PROVIDED TO IT BY ANY PROVIDER AND MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF ITS LISTED PROVIDERS OR THEIR SUITABILITY TO PROVIDE ANY MENTAL HEALTH SERVICES. AGORAMHN DISCLAIMS ANY AND ALL RESPONSIBILITY AND LIABILITY WITH RESPECT TO ANY CONDUCT OR OMISSION BY ANY PROVIDER, AND YOU AGREE TO LOOK SOLELY TO SUCH PROVIDERS AND THIRD PARTIES WITH RESPECT TO ANY AND ALL CLAIMS ARISING OUT OF SUCH AGREEMENTS AND/OR SUCH PRODUCTS OR SERVICES.
Q. Limitations on Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AGORAMHN WILL NOT BE LIABLE FOR ANY DAMAGES OR INJURY CAUSED BY YOUR USE OF THE SITE OR ITS CONTENT, INCLUDING BUT NOT LIMITED TO ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, OR LINE FAILURE. AGORAMHN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, THE INABILITY TO USE, OR RELIANCE UPON THE SITE OR ANY CONTENT OR SERVICES OBTAINED ON OR THROUGH THE SITE, EVEN IF AGORAMHN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In any event, AgoraMHN’s total aggregate liability to you for all losses, damages, and causes of action will not exceed the greater of (a) the amount you paid to AgoraMHN, if any, to access or use the Site, or (b) one hundred U.S. dollars (U.S. $100.00).
R. Privacy
AgoraMHN is committed to protecting your privacy and security. Please read our Privacy Notice at www.agoramhn.com/privacy-policy for detailed information on the collection, use, and protection of information on the Site. The Privacy Notice is incorporated into these Terms by reference.
S. Non-Discrimination
AgoraMHN is committed to providing equal and non-discriminatory access to the Site and its services for all users. AgoraMHN does not discriminate, and does not permit its Providers or users to use the Site to discriminate, on the basis of race, color, national origin, religion, sex, sexual orientation, gender identity or expression, age, disability, marital status, or any other characteristic protected by applicable federal, state, or local law.
If you believe you have experienced discrimination in connection with the Site, please contact AgoraMHN at admin@agoramhn.com.
T. Data Security and Breach Notification
AgoraMHN implements commercially reasonable administrative, technical, and physical safeguards designed to protect user data from unauthorized access, use, alteration, or disclosure. However, no security measures are perfect, and AgoraMHN does not guarantee that user data will never be compromised.
In the event of a confirmed data security breach affecting your personal information, AgoraMHN will provide notice to affected users in accordance with applicable state and federal breach notification laws. Notice will be delivered to the email address associated with your account and may also be posted on the Site.

U. Force Majeure
AgoraMHN shall not be in breach of these Terms or liable for any failure or delay in the operation, availability, or performance of the Site arising from causes beyond AgoraMHN’s reasonable control, including without limitation acts of God, natural disasters, fires, floods, earthquakes, pandemics, epidemics, governmental actions or orders, war, terrorism, civil unrest, labor disputes, power outages, internet service provider failures, or cyberattacks.
AgoraMHN will use commercially reasonable efforts to restore the Site and its services as soon as practicable following any such event.
V. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without giving effect to its conflict of laws principles. Agora Mental Health Network, LLC is organized under the laws of the State of Delaware and is registered to do business in the State of Illinois. All matters arising out of or relating to these Terms shall be governed by Illinois law.
Subject to the Dispute Resolution provisions in Section W, any action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts of competent jurisdiction located in the State of Illinois, and each party hereby irrevocably consents to personal jurisdiction and venue in those courts.
W. Dispute Resolution and Arbitration
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and your right to a jury trial.
Informal Resolution
Before initiating any formal dispute process, you agree to first contact AgoraMHN in writing at the contact information provided below and give AgoraMHN at least thirty (30) days to attempt informal resolution of the dispute.
Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its then-current Consumer or Commercial Arbitration Rules, as applicable. The arbitration shall be conducted by a single arbitrator in the State of Illinois. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Jury Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND AGORAMHN EACH WAIVE ANY RIGHT TO TRIAL BY JURY IN ANY ACTION, SUIT, OR PROCEEDING BROUGHT TO ENFORCE, DEFEND, OR INTERPRET ANY RIGHTS OR REMEDIES ARISING UNDER, RELATING TO, OR IN CONNECTION WITH THESE TERMS. Class Action Waiver YOU AGREE THAT YOU MAY ONLY RESOLVE DISPUTES IN YOUR INDIVIDUAL CAPACITY AND MAY NOT BRING A CLAIM AS A PLAINTIFF OR AS A CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. CLASS ARBITRATIONS, CLASS ACTIONS, PRIVATE ATTORNEY GENERAL ACTIONS, AND CONSOLIDATION WITH OTHER ACTIONS ARE NOT PERMITTED.
Exceptions
Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending completion of arbitration. Claims of $5,000 or less may, at the claimant’s election, be brought in small claims court.
X. Injunctive Relief
In the event you breach or threaten to breach these Terms, you acknowledge and agree that AgoraMHN may suffer irreparable harm that would be difficult to quantify and for which monetary damages would be an inadequate remedy. Accordingly, AgoraMHN may apply to any court of competent jurisdiction for emergency injunctive or other equitable relief to prevent or stop such breach, without the requirement of posting bond or other security, and without impairing or limiting AgoraMHN’s right to seek all other available legal and equitable remedies. Nothing in the Dispute Resolution section above shall prevent AgoraMHN from seeking such emergency equitable relief in court.
Y. Entire Agreement, Severability, and Waiver
Entire Agreement
These Terms, together with AgoraMHN’s Privacy Notice and any other policies expressly incorporated by reference herein, constitute the entire agreement between you and AgoraMHN with respect to your use of the Site, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether oral or written.
Severability
